Terms of Sale
These Terms of Sale apply to all purchases made from Criterion Cellular. By placing an order, you agree to these terms, which outline the conditions under which we sell and fulfill products and services.
1. Quotations and Orders
All quotations are valid for 30 days unless otherwise specified. Orders must be confirmed in writing and are subject to acceptance by Criterion Cellular. We reserve the right to correct errors or omissions in any quote or proposal.
2. Product Information and Availability
While we make every effort to provide accurate information, we cannot guarantee that descriptions, specifications, or pricing are error-free. Availability is subject to change. Final system designs and pricing are confirmed at the time of order acceptance.
3. Payment Terms
Unless otherwise agreed, payment terms are net 30 days from the invoice date. We reserve the right to require prepayment or credit approval. Late payments may incur a service charge of 1.5% per month (18% annual rate).
4. Shipping and Risk of Loss
Title and risk of loss transfer to the buyer upon shipment. We typically ship FOB Origin unless otherwise agreed. Shipping charges, insurance, and special handling fees are the responsibility of the buyer.
5. Returns and Cancellations
Returns require prior authorization and may be subject to restocking fees. Custom or special-order items are non-returnable. Cancellations must be requested in writing and may incur cancellation fees depending on the order stage.
6. Warranty Disclaimer
Products are covered by the original manufacturer’s warranty, where applicable. Criterion Cellular does not provide additional warranties unless stated in writing. We make no guarantees beyond those explicitly stated by the manufacturer.
7. Limitation of Liability
In no event shall Criterion Cellular be liable for incidental, indirect, special, or consequential damages arising from any transaction or use of our products or services. This includes, but is not limited to, costs associated with repairs, reinstallation, labor charges, contractor fees, or lost time. We are not responsible for damages caused by improper installation, misuse, or failure to follow manufacturer guidelines.
Although many of our systems incorporate lightning protection, no guarantee is made that equipment will survive a lightning strike — even when installed to specification. Damage caused by electrical surges, lightning, or other external forces is not covered under our liability.
We strongly recommend that all systems be powered through a UPS (Uninterruptible Power Supply) or other clean, uninterruptible power source to reduce the risk of power-related damage.
Our maximum liability, if any, shall be limited to the original purchase price of the product.
8. Governing Law
These Terms of Sale shall be governed by and construed in accordance with the laws of the State of Colorado. Venue for any legal action shall be Elbert County, Colorado.
